The Media General board rejected Nexstar’s unsolicited $1.9 billion acquisition proposal as undervalued, but hasn’t slammed the door on a deal. While the board “continues to recommend the proposed transaction with Meredith,” a $2.4 billion cash-and-stock agreement, Media General said Monday it was launching merger negotiations with Nexstar. Meredith said it is confident that its own deal with Media General will “generate superior shareholder value.” Media General operates 71 TV stations, while Nexstar has over 100 and Meredith 17.

ABC announced midseason premiere dates. Season two of Galavant launches Sunday, January 3 at 8p; The Bachelor is back for season 20 Monday, January 4; Marvel’s Agent Carter starts its sophomore run Monday, January 5 at 9p; American Crime debuts season two Wednesday, January 6 at 10p and My Diet Is Better Than Yours and Beyond the Tank take over Thursday when the TGIT dramas start their winter breaks (Shondaland shows return with new eps February 11).

NBC News announced yesterday that Charlie Sheen (Two and a Half Men) will make a “revealing personal announcement” on Today this morning.

Top moment of Saturday’s Democratic presidential debate on CBS, ranked by TiVo Research audience data: Bernie Sanders, saying he wouldn’t raise the effective tax rate as high as a certain former president did, because “I’m not that much of a socialist compared to Eisenhower.”

OTT has caught up to cable TV, according to a new study from Clearleap. The multiscreen video tech company found that in a survey of 1,111 consumers, 78.5 percent said they were cable subscribers and 71.37 percent said they had used a streaming service. Among millennials, 26.48 percent they had never subscribed to cable. “Going OTT isn’t an option anymore – it’s a mandate,” concluded Clearleap.

Hallmark Channel is going all out to promote its “Countdown to Christmas” programming. An installation at NYC’s Herald Square on Wednesday, November 18 and Thursday, November 19, sponsored by Cheerios, will feature over 500 illuminated Christmas trees, and the net’s Macy’s Thanksgiving Day float will feature a performance by Mariah Carey. The marketing effort also includes sponsorship of Carey’s Beacon Theater holiday show, Grand Central “Station Domination” with branded signage, an integrated skit on Jimmy Kimmel Live, partnership with Six Flags and a “Joy to the World” sweepstakes. But back to the trees. “Staging the Christmas tree maze in Herald Square…provides consumers with a fun and unique way to interact with our brand and get in the spirit of the season,” said Susanne McAvoy, EVP, marketing, creative and communication, Crown Media Family Networks.
 
NBCUniversal acquired Universal Sports Network assets from World Championship Sports Network, including Olympic events in swimming, figure skating, skiing, track and field and more, to be folded into NBC Sports Group. “Acquiring these valuable media rights builds on our long-term investment in the Olympic Games through 2032, and reaffirms our commitment to Olympic sports and the stories of the great athletes who compete in them,” said Gary Zenkel, president, NBC Olympics, a division of NBC Sports Group.

Some viewers of The Walking Dead had more than the usual scare Sunday, when a crawl ran during the hit zombie drama warning that subscribers of National Cable TV Cooperative systems could lose AMC and WE tv programming if a new carriage agreement isn’t reached. The current deal ends December 31. The NCTC negotiates agreements for about 700 independent cable systems.

Among the performers added to A+E Networks’ simulcast of Shining a Light: A Concert for Progress on Race in America are LL Cool J, Nick Jonas, Alicia Keys, Nicki Minaj and Smokey Robinson. Fuse Media’s new TV and digital music net FM launched its first original programming yesterday. Block includes weekly series Tiesto’s in the Booth, Explicit Language and Crate Diggers, with new shows to come.

Nickelodeon’s The HALO Effect profiles young activists making positive changes in their communities. The pro-social-themed monthly docu-series from Nick Cannon’s NCredible Entertainment and Morgan Spurlock’s Warrior Poets arrives in January 2016.

When Breaking Bad prequel Better Call Saul returns for its sophomore season on AMC, prepare for surprises. “Jimmy McGill…goes to places we’d never, ever expected,” teases Peter Gould, exec producer and showrunner. “As for Mike Ehrmantraut, he’s pulled deeper into a world he was sure he’d left forever.” Fun begins Monday, February 15 at 10p.

Season four of HGTV’s Flip or Flop premieres Thursday, December 3 at 9p with a fixer upper that is, laments flipper Christina El Moussa, “hands down, our worst buy yet.” The real estate show’s last go-round attracted over 13.5 million viewers.

ADVERTISING AND BRANDS

ABC Family has partnered with Reddi-wip for its Pop Up Santa stunt, celebrating the 18th “25 Days of Christmas” programming event. Santa’s coast to coast trip with the Reddi-wip “Share the Joy” food truck started Saturday in NYC’s Wollman Rink, and continues in Glendale, CA Thursday, November 19 and Chicago on Saturday, November 21. Christmas cheer kicks off on TV December 1.

DIGITAL DOINGS

Ad-free streaming comedy channel Seeso will start a month-long web-only, free Beta period on Thursday, December 3. Comedy fans can sign up at www.seeso.com. No credit card required, but Beta memberships will be limited. “It’s like the soft opening of a restaurant,” said Evan Shapiro, EVP of NBCU Digital Enterprises. “Everything is free, while you try out Seeso, sample our great classic comedy and get a taste of our exclusive original series….But, just like the soft-opening of any neighborhood club, space is limited and we might ask for your patience while we work out our service.” The sample includes an OTT first: live stand-up special  The Guest List: Live From the Barrel House, streamed Tuesday, December 8 at 10p.

CASTING

 Lily James and Matt Barber will be back as Lady Rose and Atticus Aldridge for the series finale of Downton Abbey, airing Sunday, March 6 on PBS. Season starts January 3.

British actor Rob Heaps will star opposite Inbar Lavi in Bravo comedy pilot My So Called Wife. Heaps appear in upcoming BBC drama Life in Squares.

Bailey Chase (Longmire) will recur on Showtime’s upcoming Twin Peaks sequel and NBC’s Grimm.

DISTRIBUTION

Katz Broadcasting inked multi-year agreements with Media General and Tribune Media that will expand the footprints of year-old Grit and Escape and seven-month-old Laff. The deal puts Grit in 86 percent of the U.S. (97 million homes), Escape in 68 percent (77 million) and Laff in 64 percent (72.4 million).

Alfred Haber Inc. secured sales for the 16th Annual Latin Gramm Awards, airing live on Univision Thursday, November 19, to China’s CCTV, Canada’s Telatino, Mexico’s Telavisa, Turner in Latin America, Colombia’s CEETV, Sociedad Independent in Portugal, Brazil’s SBT and Turkey’s Power TV.

SYNDICATION

Fox Television Stations are testing game show South of Wilshire, set in an LA soul food restaurant. Contestants will be tasked with guessing the identities of celebs. Strip from Warner Bros. Domestic Television Distribution and TMZ producer Harvey Levin starts an eight-week test run Monday, January 4. Fox Television Stations VP Frank Cicha called the show “Interesting and different, within a sustainable economic model.”

RATINGS

Saturday’s Democratic debate on CBS drew 8.6 million viewers, double what the net normally attracts on the night and stronger than the 5.5 million the net averaged for a primary debate four years ago, but a steep drop from 15.2 million for the first Dem event on CNN. The most recent GOP face-off delivered 13.5 million viewers for Fox Business Network.

Sunday’s Giants/Patriots game scored the best NFL ratings for CBS this season, averaging an 18.3 HH rating, according to Nielsen metered-market data. Among A18-49, the nail-biter averaged 8.5.

Dominated by reports on the Paris terrorist attacks on Friday, Fox News drew 4.4 million viewers in primetime, CNN had 3.2 million and MSNBC 1.24 million. In the A25-54 demo, CNN delivered 1.3 million viewers, Fox News 1.2 million and MSNBC 353,000.

Velocity had its second-best week of 2014 in Primetime delivery and ratings across target demos with a weeklong stunt featuring all new episodes from top franchises. Highlights in Live+3 include Chasing Classic Cars on November 2, with P2+delivery gains of 86 percent versus the prior 6-week Mondays and a 163 percent lift versus Monday Prime in November 2014.

On Tuesday, November 10, new TV One docu-series Ricky Smiley for Real was the number one telecast in its 8p time period among Black P25-54.
